There is a proposal being put forward for members to consider.  This idea was presented last night in accordance with the current by-law amendment process, and will also be presented at the January meeting.  If no objections are brought forward, this will be voted on at the AGM in February at the Peaks.  Notification will go out to all members if this is to be an AGM agenda item.  That will be decided upon after the January meeting.

 Part Four

Section One- Officers

Existing

All officers shall serve for (1) year, but may serve one consecutive year in any one position as re-elected.

Amend to Read

All officers shall serve one (1) year, but may serve any number of consecutive years in any one position as re-elected.

Rationale

It takes time for an officer to become familiar with their role on the board, and just when they become efficient, they need to step down under existing rules.  There has also been a challenge getting members to stand for board positions.  This would allow those who wish to stand again for re-election to do so.

Section Three

  • (a) Board of Directors

All directors shall serve one (1) full year but may serve one consecutive year as re-elected.

Rationale

Part 5

Section 2 – Annual Meetings

Existing

Annual Meetings shall be held on the second Thursday in February.  If there are extenuating circumstances and the meeting cannot be held on the second Thursday in February, in any year, the Annual General Meeting shall be held on the next available Thursday as soon after the second Thursday in February as can be reasonably be scheduled and which is reasonably convenient

Amend to Read

Annual meetings shall be held the second week in February, Sunday to Saturday, as determined by the board of directors. The date must be announced no later than the December meeting.

If there are extenuating circumstances and the meeting cannot be held during the second week of February, then it shall be held on the next available date in February as can be reasonably scheduled and which is reasonably convenient. In the event of a rescheduling of the annual general meeting the membership shall be so notified, by means deemed reasonable by the board of directors.

Rationale

In order to guarantee maximum attendance by all members, the board should have flexibility to determine which day of the week in the second week of February the membership will be most likely to attend.  This also allows for options in terms of booking locations outside of the clubhouse during this unpredictable time of year for weather.

Section Ten

Existing

Full members must attend either the December or January meeting to be eligible to vote in the February meeting.

Amend to Read

Full members must attend two meetings in the twelve months prior to the February meeting to be eligible to vote at the February Annual General Meeting. 

Rationale

Members now come from a wide geographic area and cannot always make the meeting in December and January due to weather, and driving distances mid-week.  This will allow members who are active for at least 2 meetings in the preceding year to vote at the Annual General Meeting.
